Payments must be made according to the agreed schedule. We reserve the right to pause or suspend work if payments are overdue.
Unless otherwise stated, fees are exclusive of applicable taxes, third-party charges, domain/hosting fees, advertising spend, API charges, and other external costs.
4. Client Responsibilities
You agree to provide accurate information, timely feedback, required content, approvals, login access, and cooperation necessary for us to deliver the services.
Delays caused by missing information, delayed approvals, or incomplete client inputs may affect delivery timelines.
5. Intellectual Property
Unless otherwise agreed in writing, Axio retains ownership of pre-existing tools, frameworks, templates, code libraries, designs, processes, and materials developed prior to or outside your project.
Upon full payment, you will receive the agreed usage rights to the final deliverables created specifically for your project, subject to any third-party licenses or restrictions.
You may not copy, resell, reproduce, or misuse our proprietary systems, branding, or materials without written permission.
6. Website Design and Development
Website projects may include design, development, deployment support, integrations, and maintenance depending on the agreed scope.
You are responsible for providing lawful content, branding assets, domain/hosting arrangements where applicable, and approvals required for launch.
We are not responsible for issues caused by third-party hosting, plugins, external APIs, or unauthorized changes made after delivery.
7. SEO Services
SEO services may include keyword research, on-page optimization, technical improvements, content recommendations, and performance reporting.
Search engine rankings depend on many external factors including algorithm changes, competition, and website history. Unless expressly agreed in writing, we do not guarantee specific rankings, traffic levels, or lead volumes.
8. WhatsApp Automation Services
WhatsApp automation services may involve third-party platforms, APIs, Meta/WhatsApp policies, CRM integrations, and customer communication workflows.
You are responsible for ensuring lawful use of customer data, obtaining required consents, and complying with WhatsApp/Meta policies and applicable messaging laws.
We are not responsible for account restrictions, API changes, platform downtime, or policy enforcement actions taken by third-party providers.
9. Social Media Services
Social media services may include content planning, posting, account management, advertising support, and reporting.
Where account access is provided, you authorize us to perform agreed activities on your behalf. You remain responsible for the accuracy and legality of business information and brand assets supplied by you.
10. Revisions and Support
Revision limits, support duration, and maintenance terms will be defined in the applicable proposal or agreement.
Requests outside the agreed scope may be treated as additional work and billed separately.
11. Third-Party Services
Our services may rely on third-party providers such as hosting companies, domain registrars, payment gateways, analytics tools, Meta/WhatsApp platforms, advertising networks, and software vendors.
We are not responsible for the availability, pricing, policies, or performance of third-party services outside our reasonable control.
12. Confidentiality
We will treat non-public business information shared by you for project purposes as confidential, except where disclosure is required by law or necessary to deliver the services.
13. Limitation of Liability
To the maximum extent permitted by law, Axio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
Our total liability for any claim relating to the services shall not exceed the amount paid by you to Axio for the specific service giving rise to the claim during the three (3) months preceding the event, unless otherwise required by law.
14. Indemnity
You agree to indemnify and hold Axio harmless from claims, losses, or expenses arising from unlawful content, misuse of services, violation of third-party rights, or breach of these Terms by you or your representatives.
15. Termination
Either party may terminate a service engagement according to the terms of the applicable agreement or proposal.
We may suspend or terminate services in cases of non-payment, abuse, unlawful use, or material breach of these Terms.
